Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your use of the Daawn analytics platform, our marketing website at daawn.ai, and any related services (collectively, the "Service") operated by Antidote Group ("Daawn," "we," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Daawn provides an AI-powered analytics platform that reads authorized Amazon Selling Partner API data, transforms it into structured analytics, and surfaces insights and test recommendations for consumer brands selling on Amazon. The specific scope of the Service for your account is set out in your engagement letter or order form.

3. Account Registration

You must provide accurate and complete information when creating an account or authorizing access to your Amazon data. You are responsible for maintaining the confidentiality of your credentials. You agree to notify us promptly of any unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any third-party rights.
  • Attempt to gain unauthorized access to the Service or its underlying systems.
  • Reverse-engineer, decompile, or copy any portion of the Service except as expressly permitted.
  • Resell, sublicense, or otherwise commercialize the Service without our prior written consent.
  • Submit data that you do not have the right to submit.

5. Data Ownership

You retain all rights, title, and interest in the data you provide or authorize Daawn to access, including data accessed from Amazon on your behalf ("Customer Data"). You grant Daawn a limited, non-exclusive, royalty-free license to access, store, process, and analyze your Customer Data solely to provide the Service to you. We do not claim ownership of your data.

6. Intellectual Property

Daawn retains all rights to the platform itself, including software, models, algorithms, designs, and trademarks. Aggregate, de-identified, and statistical information derived from operating the Service may be used by us to improve the Service, provided that such information cannot reasonably be used to identify you, your customers, or your business.

7. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted availability. We may perform scheduled maintenance or emergency patches that temporarily affect access. We will use commercially reasonable efforts to notify you of planned downtime in advance.

8. Termination

You may terminate your account at any time by emailing us and revoking Daawn's access through Amazon Seller Central. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to us or third parties. Upon termination, we will delete your Customer Data within 30 days unless retention is required by law.

9. Disclaimers

The Service is provided "as is" and "as available." We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Recommendations, tests, and insights generated by Daawn are decision-support outputs, not guarantees of business outcomes. You are responsible for the operating decisions you make based on the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Daawn's aggregate liability for any claim arising out of or related to the Service is limited to the fees paid by you to Daawn in the twelve months preceding the event giving rise to the claim. Daawn is not liable for indirect, incidental, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold Daawn harmless from any third-party claim arising out of (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of any applicable law or third-party right.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email to account holders at least 30 days before taking effect.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in San Francisco County, California.
